The Role

Our Client is looking for a Head of Legal to assist the sub-MD in providing advice and legal services to clients. You will keep abreast of any developments in local and international laws and regulations vis-à-vis the maritime and aviation sectors, and other relevant laws, to ensure that the Group complies with the respective regulations for the jurisdictions in which they operate.

Key responsibilities include:

  • Administration of legal structures in various jurisdictions;
  • Formation and dissolution of legal structures in various jurisdictions including
    assisting with the preparation and submission of closing documents and ancillary
    formalities;
  • Drafting and reviewing corporate governance documents, including minutes and
    written consents, memorandum & articles, powers of attorney, and similar
    documents;
  • Assisting with the documentation of commercial transactions, including the
    preliminary drafting of commercial agreements and ancillary documents,
    preparing summaries of key terms, and tracking the status of negotiations and the performance of contractual terms, particularly the purchase/sale of vessels and aircraft;
  • Liaising with authorities in multiple jurisdictions as well as other professional
    services firms to support clients in all their requirements;
  • Managing document preparation and filings with authorities in multiple
    jurisdictions including preparation of registration documentation;
  • Coordinating and assisting with the administration of client assets, including
    the opening of bank accounts, preparation of documentation for Registrars in various jurisdictions, liaising with stakeholders and authorities where and as necessary;
  • Taking responsibility for, and assisting with, client acceptance procedures for new clients including the collation of any relevant due diligence documentation;
  • Managing an electronic and hardcopy filing system;
  • Advising and supporting the Directors in their dealings with clients on a daily basis;
  • Assisting and advising the Company in respect of client files, as well as in client
    relations;
  • Assisting with the day to day operations of the Company and its clients;
  • To undertake other duties from time to time as the Company may reasonably
    require;
  • Managerial responsibilities in handling the more complex legal aspects and
    assisting the sub-MD as required; monitoring progress and assisting where
    required in the purchase/sale of vessels and aircraft; maintaining regular contact with clients and advisors; being able to provide advice in response to questions from staff or the Board in terms of the services provided; acting as the first point of contact concerning corporate matters for clients, shareholders, advisors and other interested parties and supporting the Company on such matters;
  • Works closely with the sub-MD to ensure adequate support for the operations overall, enabling the functional agenda and meeting local targets.
  • Uphold the Company’s values by promoting a culture of professionalism, teamwork, and equality.

The Candidate

  • Solid first degree in Maltese Law; post-graduate studies in Maritime law and
    Financial Services Legislation;
  • At least 5 years of relevant experience (senior) in an organisation active in
    corporate or maritime law;
  • Proven track record of exceeding targets and in developing and maintaining a
    professional network;
  • Strong team-player with experience of working in a dynamic organisation and
    able to build bridges between the different stakeholders within the organisation;
  • Hands-on and with attention to detail. Also a positive attitude towards solving
    problems and ability to mentor and train a team;
  • Strong communication and persuasive skills; collaborative and a team player;
  • Ability to think outside the box, to challenge the status quo, but to do so
    diplomatically and in a collaborative manner;
  • Culturally sensitive and experienced in dealing with multiple nationalities,
    business cultures;
  • Ability to deal with change and to take an initiative.
