The Head of Legal and Compliance is responsible for managing legal, regulatory risk and compliance matters. This person is responsible for empowering, mentoring and developing the team. The legal and compliance team reports to the Head of Legal & Compliance. The Head of Legal & Compliance reports to the General Counsel. The Head of Legal & Compliance is a member of the (middle) management.

The Head of Legal & Compliance keeps the General Counsel informed of all relevant matters. The Head of Legal & Compliance liaises with managers and staff, as well as with regulators, (potential) suppliers, customers and other relevant third parties in the fulfilment of his/her responsibilities. The Head of Legal & Compliance is the secondary point of contact (after the General Counsel as primary contact) with legal and compliance advisors, auditors and similar organisations, regulators and regulatory industry organisations as well as with suppliers where legal and compliance matters are concerned.

The Head of Legal & Compliance is responsible for:

  • Participating in management meetings and activities;
  • Managing and participating in the activities of the Legal, Compliance & Risk team which are further detailed below:
    – Contractual matters, disputes, intellectual property protection and other legal affairs;
    – Compliance in targeted markets and with selected industry standards;
    – Regulatory risk management;
  • Leading, supervising and managing the members of the Legal, Compliance & Risk team, and providing managerial input to the General Counsel, as further detailed below.

The Head of Legal & Compliance will prioritise the discharge of his duties in view of:

  • Directions from the General Counsel;
  • Importance to the business;
  • (Potential) consequences of non-compliance;
  • Equal importance of compliance and business;
  • Common prioritisation principles such as urgency and implementation time path, effectiveness using the 80/20 rule and reparability of consequences of delays.
