Reporting to the Corporate Governance & Regulatory Affairs Senior Manager, the successful candidate will be responsible for assisting the Company Secretary and supporting the Corporate Governance & Regulatory Affairs Senior Manager with a broad range of corporate governance activities, with focus on day-to-day support on Board matters. The successful candidate will also be responsible for keeping the team organised in terms of record keeping of minutes and Board packs.

Duties and responsibilities

• Taking minutes, drafting resolutions, lodging required forms and annual returns with regulators
• Assisting the Regulatory Affairs & Corporate Governance Senior Manager and the Group Chairman to drive the Agenda of the Board and its Committees, whilst ensuring adequate flow of information across the different Board Committees
• Keeping adequate record of minutes and supporting documentation as presented during Board and Committee meetings in an organised manner
• Working closely with the Regulatory Affairs team to assist with regulatory requests and sharing of information on Board matters
• Following up on matters arising from Board and Board Committee meetings
• Ensuring compliance with listing requirements and regulatory filings are completed in a timely manner with the Malta Business Registry
• Supporting the Regulatory Affairs & Corporate Governance Senior Manager by giving input for public disclosures on the Corporate Governance of the Group
• Supporting the team with ad-hoc requests appropriate to the Senior Officer’s talents and capabilities

Required knowledge, skills, and experience

• Flawless business English and formal minute writing skills is a must for this role
• Good commercial acumen in Corporate Governance, coupled with a relevant degree in Legal, Banking or Commerce would be preferred
• Work experience in banking or financial services will be considered an asset
• Knowledge of French and/or Dutch will be considered an asset
